End User License Agreement

1. Definitions

• "Software" means any BC-Magic extension, add-on, or application for Microsoft Dynamics 365 Business Central, including all updates, patches, documentation, and related materials provided by BC-Magic.
• "Licensee" or "You" means the individual or legal entity that has agreed to this EULA and has been granted a license to use the Software.
• "Licensor" means BC-Magic, the developer and owner of the Software.
• "Subscription" means the recurring license plan under which You are authorized to use the Software for a defined period.
• "Authorized Users" means the employees, contractors, or agents of the Licensee who are permitted to use the Software under the terms of the applicable Subscription.
• "Business Central Environment" means a Microsoft Dynamics 365 Business Central tenant, whether cloud-hosted or on-premises, in which the Software is installed.

2. License Grant

Subject to the terms and conditions of this Agreement and payment of applicable fees, BC-Magic grants You a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software within Your Business Central Environment(s) as permitted by Your Subscription plan.
• Allow Your Authorized Users to access and use the Software for Your internal business purposes only.
• Make a reasonable number of backup copies of the Software solely for disaster recovery purposes.

The license is granted per Business Central Environment and per Subscription tier. You may not exceed the number of environments, users, or transactions specified in Your Subscription plan without purchasing additional licenses.

3. Restrictions

You shall not, and shall not permit any third party to:

• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software, except to the extent expressly permitted by applicable law.
• Distribute, sublicense, lease, rent, loan, sell, resell, or otherwise transfer the Software or any rights therein to any third party.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
• Use the Software to develop a competing product or service.
• Use the Software in a manner that violates any applicable laws or regulations.
• Share login credentials or otherwise allow unauthorized individuals to access the Software.
• Use the Software beyond the scope of the license granted under Your Subscription plan.
• Attempt to circumvent any technical limitations, license keys, or access controls built into the Software.

4. Intellectual Property

The Software, including all copies, modifications, and derivative works, is the exclusive property of BC-Magic and is protected by copyright, trade secret, and other intellectual property laws. This Agreement does not grant You any ownership interest in the Software, but only a limited right of use as set forth herein.

All trademarks, service marks, trade names, and logos associated with the Software are the property of BC-Magic. You may not use any such marks without the prior written consent of BC-Magic.

Any feedback, suggestions, or ideas You provide regarding the Software ("Feedback") may be used by BC-Magic without any obligation to You, and You hereby assign to BC-Magic all rights in such Feedback.

5. Subscription & Fees

Access to the Software requires an active Subscription. Subscription plans, pricing, and features are described on the BC-Magic website or in a separate order form.

• Payment: Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). All fees are non-refundable except as expressly stated in this Agreement or required by applicable law.
• Renewal: Subscriptions automatically renew at the end of each billing period unless You cancel before the renewal date. BC-Magic reserves the right to adjust pricing upon renewal with prior notice.
• Free Trials: If You are provided with a free trial, the trial period and its terms will be specified at the time of enrollment. At the end of the trial, You must purchase a Subscription to continue using the Software.
• Taxes: All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with Your Subscription, excluding taxes on BC-Magic's income.

6. Data & Privacy

The Software may process, store, or transmit data within Your Business Central Environment. BC-Magic is committed to protecting Your data in accordance with our Privacy Policy.

• Your Data: You retain all rights to Your data. BC-Magic does not claim ownership of any data processed by the Software within Your environment.
• Data Processing: To the extent that BC-Magic processes personal data on Your behalf, such processing shall be governed by a separate Data Processing Agreement, available upon request.
• Telemetry: The Software may collect anonymized usage data and diagnostic information to improve product quality and performance. No personally identifiable information is collected without Your consent.
• Security: BC-Magic implements commercially reasonable security measures to protect data processed by the Software. However, no method of electronic transmission or storage is completely secure, and BC-Magic cannot guarantee absolute security.

7. Disclaimers & Limitation of Liability

The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

BC-Magic does not warrant that the Software will be uninterrupted, error-free, or free of harmful components. BC-Magic does not warrant that the Software will meet Your specific requirements or operate in combination with any other hardware, software, or systems.

To the maximum extent permitted by applicable law, in no event shall BC-Magic be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to this Agreement or the use of the Software, regardless of the cause of action or the theory of liability.

BC-Magic's total aggregate liability under this Agreement shall not exceed the total fees paid by You to BC-Magic during the twelve (12) months immediately preceding the event giving rise to the claim.

8. Termination

This Agreement is effective until terminated.

• Termination by You: You may terminate this Agreement at any time by ceasing all use of the Software, uninstalling it from all Business Central Environments, and canceling Your Subscription.
• Termination by BC-Magic: BC-Magic may terminate this Agreement immediately if You breach any term of this Agreement. BC-Magic may also terminate or suspend Your access to the Software if Your Subscription lapses or payment is not received.
• Effect of Termination: Upon termination, all licenses granted under this Agreement shall immediately cease. You must promptly uninstall and destroy all copies of the Software in Your possession. Sections 4 (Intellectual Property), 7 (Disclaimers & Limitation of Liability), and 10 (Governing Law) shall survive termination.
• Data After Termination: BC-Magic is not responsible for the retention or deletion of Your data following termination. You are responsible for exporting any data prior to the termination of Your Subscription.

9. Updates & Modifications

BC-Magic may, from time to time, release updates, patches, or new versions of the Software. Such updates may be installed automatically or may require action on Your part, depending on Your Business Central Environment configuration.

• Updates: Updates are provided at BC-Magic's discretion and may add, modify, or remove features. Continued use of the Software after an update constitutes acceptance of the updated Software.
• Agreement Modifications: BC-Magic reserves the right to modify this Agreement at any time. Material changes will be communicated via email or through the Software. Your continued use of the Software after such notification constitutes acceptance of the modified terms.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in the United States.

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

This Agreement constitutes the entire agreement between You and BC-Magic with respect to the Software and supersedes all prior or contemporaneous understandings, communications, or agreements, written or oral, regarding such subject matter.
